1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the `thelaunch.dev` website (the "Site") and the services we offer ("Services"). By accessing our Site or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Site or Services.

2. Description of Services

The Launch Dev provides technical partnership services, including but not limited to strategy, design, development, and consulting to help founders and companies build and launch Minimum Viable Products (MVPs). The specific scope, deliverables, timelines, and fees for any project will be detailed in a separate, mutually agreed-upon Statement of Work ("SOW").

3. Client Projects and Statements of Work

All client projects are governed by a SOW. In the event of a conflict between these Terms and a SOW, the terms of the SOW will take precedence. Each SOW will outline:

• The project scope, features, and deliverables.
• The project timeline and key milestones.
• The fees, payment schedule, and invoicing details.
• Any specific terms related to acceptance testing or warranties.

4. Intellectual Property Rights

• Our Intellectual Property: We retain all rights, title, and interest in and to our Site, our processes, and any pre-existing materials or tools used to provide the Services.
• Client Intellectual Property: You, the client, will own all rights, title, and interest in and to the final, delivered work product created specifically for your project, upon our receipt of your full and final payment for that work. We retain the right to use the work product for our portfolio and marketing purposes, unless otherwise agreed upon in the SOW.

5. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential. This includes project ideas, business plans, technical data, and financial information. This obligation of confidentiality will survive the termination of our engagement. We are happy to sign a Non-Disclosure Agreement (NDA) to further protect your ideas.

6. Fees and Payment

You agree to pay all fees as specified in the applicable SOW. Payments are due according to the schedule outlined in the SOW. Late payments may result in a suspension of work and may incur interest charges. All fees are non-refundable unless explicitly stated otherwise in the SOW.

7. Disclaimer of Warranties

Our Site and any general information provided are on an "as is" and "as available" basis. We disclaim all warranties of any kind regarding the Site. Any warranties related to a specific client project and the work product delivered will be explicitly defined in the corresponding SOW.

8. Limitation of Liability

To the fullest extent permitted by law, The Launch Dev shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site or our Services. Our total liability for any claim arising out of a specific project is limited to the total fees paid by you under the SOW for that project.

9. Term and Termination

These Terms will remain in effect until terminated. We may terminate or suspend your access to the Site at any time. The terms governing a specific client project, including termination clauses, will be detailed in the SOW. Provisions that by their nature should survive termination (including Intellectual Property, Confidentiality, and Limitation of Liability) will remain in effect after termination.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction agreed upon in the specific client SOW. Any disputes will be resolved in the courts of that jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page. Your continued use of the Site or Services after such changes indicates your acceptance of the new Terms.
